Sam Smith’s practice focuses on commercial and financial transactions, mergers and acquisitions, securities regulations, wills and trusts, and secured transactions.

Sam Smith has represented large financial institutions and investment banks in all aspects of securitization and structured finance transactions including advising on entity selection and formation, capital structure, securities regulations and commercial contract drafting. He advises closely held businesses in business entity selection and formation, business financing and operations, purchasing/selling a business, and drafting and negotiating commercial contracts. He also advises individuals and entrepreneurs with the design and implementation of estate planning and succession planning strategies.
